TERMS & CONDITIONS / TERMS OF SERVICE

These Terms & Conditions (“Terms”) govern your access to and use of all courses, programs, recordings, materials, websites, live sessions, replays, communities, and services (collectively, the “Services”) provided by Take On Bar Exam Coaching, LLC (“Company,” “we,” “us,” or “our”) through Kajabi or any related platform. 

By purchasing, accessing, or using the Services, you confirm that you are at least 18 years old and that you have read, understood, and agree to be bound by these Terms.

1. Nature of the Services

The Services consist of educational content delivered through live sessions, recorded sessions, written materials, digital resources, and community interactions. Some live sessions are recorded and may be reused, resold, or incorporated into future courses, products, or offerings.

The Services are provided for educational and informational purposes only.

2. License to Access Content (No Ownership)

Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access the Services for your personal use only.

You do not acquire any ownership interest in the content. All rights not expressly granted are reserved by the Company.

3. Intellectual Property Rights

All content included in the Services — including videos, audio, recordings, text, slides, frameworks, teaching methods, hypotheticals, written materials, community content, and digital downloads — is the exclusive intellectual property of Take On Bar Exam Coaching, LLC and is protected by copyright and other intellectual property laws.

You may not copy, reproduce, record, screen-capture, distribute, share, upload, sell, sublicense, modify, scrape, train AI systems on, or commercially exploit any portion of the Services, in whole or in part.

4. Prohibition on Student Recording or Capture

You are strictly prohibited from recording, photographing, screen-capturing, audio-capturing, livestreaming, or otherwise reproducing any portion of the Services, including live sessions, replays, slides, chat discussions, community posts, or other participant contributions.

This prohibition applies regardless of purpose, including personal use.

Unauthorized recording or capture constitutes a material breach of these Terms and may result in immediate termination of access without refund, revocation of any current or future licenses, and legal action seeking injunctive relief, damages, and attorneys’ fees where permitted by law.

5. No Sharing or Account Access by Others

Your access to the Services is for one individual only. You may not share login credentials, course access, replays, or materials with any other person.

Unauthorized sharing or access may result in immediate termination of access without refund and may expose you to legal action.

6. Recording Consent and Reuse of Live Sessions

By participating in any live session, you acknowledge and agree that the session may be recorded.

You grant the Company the irrevocable, unrestricted, perpetual right to use, reproduce, distribute, edit, sell, and reuse such recordings, in whole or in part, in any current or future offerings, without compensation, notice, or approval.

7. Community Conduct and Participation Standards

Participation in live classes, chats, comments, discussion boards, or any community spaces provided by Take On Bar Exam Coaching, LLC is a privilege, not a right.

By participating, you agree to:

  • Engage respectfully with instructors and other participants

  • Refrain from disruptive, abusive, harassing, discriminatory, or inappropriate behavior

  • Avoid posting misleading, defamatory, or unlawful content

  • Follow all instructions provided during live sessions

You may not:

  • Screenshot, record, or share community discussions or participant comments

  • Solicit, advertise, or promote products or services

  • Provide legal advice or represent yourself as speaking on behalf of the Company

The Company reserves the right, in its sole discretion, to remove content, mute participants, remove individuals from live sessions, or terminate access to the Services without refund for conduct that violates these standards or interferes with the learning environment.

8. No Guarantees; Educational Use Only

The Company does not guarantee any results, outcomes, score improvements, exam passage, certifications, income, or success.

Any references to improvement, progress, or outcomes — including testimonials, examples, or statements of past success — are illustrative only and do not constitute promises or guarantees. Your results depend on many factors outside the Company’s control.

9. Payments and Access

All prices are disclosed at the time of purchase. Payments are processed through third-party payment processors such as Stripe or PayPal.

Access to course content and replays is provided for a limited time only, as specified at the time of purchase. Access may expire automatically without notice.

10. Refunds and Chargebacks

All sales are final. No refunds are provided under any circumstances.

Initiating a chargeback or payment dispute without a valid basis constitutes a breach of these Terms and may result in immediate termination of access and further action as permitted by law.

11. Termination of Access

The Company reserves the right to suspend or terminate your access to the Services at any time, without refund, if you violate these Terms, misuse the Services, engage in unauthorized sharing or recording, or disrupt the learning environment.

12. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to your use of or inability to use the Services.

Your sole remedy is to discontinue use of the Services.

13. Indemnification

You agree to indemnify and hold harmless Take On Bar Exam Coaching, LLC from any claims, damages, losses, liabilities, or expenses arising from your violation of these Terms or misuse of the Services.

14. Arbitration; Governing Law

These Terms shall be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration, rather than in court, except where prohibited by law. Arbitration shall take place in Georgia unless otherwise required by applicable law.

15. California Consumer Privacy Notice (CCPA / CPRA)

This section applies solely to California residents.

Take On Bar Exam Coaching, LLC collects personal information as described in its Privacy Policy for business and commercial purposes, including providing Services, processing payments, communicating with users, and improving offerings.

The Company does not sell or share personal information as those terms are defined under California law.

California residents have the right to:

  • Request disclosure of the categories of personal information collected

  • Request deletion of personal information, subject to legal exceptions

  • Opt out of certain data processing where applicable

Verification may be required before fulfilling requests.

Users will not be discriminated against for exercising their California privacy rights.

16. Modifications

The Company may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
